Item 5.02.
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers

On February 11, 2014, Jeffrey Joerres notified the board of directors (the “Board”) of ManpowerGroup Inc. (the “Company”) that he will retire as Chief Executive Officer of the Company, effective May 1, 2014.  Mr. Joerres will continue to serve on the Board.

On February 11, 2014, the Company issued a press release, announcing that effective May 1, 2014, Mr. Joerres will serve as Executive Chairman and Jonas Prising will serve as Chief Executive Officer of the Company.  Mr. Prising is currently a President of the Company and the Company’s Executive Vice President for the Americas and Southern Europe.  The press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.

On February 11, 2014, the Company issued another press release, announcing the election of Darryl Green as President and Chief Operating Officer of the Company, effective May 1, 2014.  Mr. Green is currently a President of the Company and the Company’s Executive Vice President for Asia Pacific Middle East and Northern Europe. The press release is attached hereto as Exhibit 99.2 and incorporated herein by reference.

The information required by Items 401(b) and 401(e) of Regulation S-K is incorporated herein by reference to the section of the Company’s annual report on Form 10-K for the year ended December 31, 2012 entitled “Executive Officers of ManpowerGroup.”  There are no family relationships required to be disclosed pursuant to Item 401(d) of Regulation S-K or transactions with related persons required to be disclosed pursuant to Item 404(a) of Regulation S-K involving Mr. Joerres, Mr. Prising or Mr. Green.

Jonas Prising elected ManpowerGroup CEO;
Jeffrey Joerres named Executive Chairman both effective May 1, 2014


MILWAUKEE (11 FEBRUARY 2014) ManpowerGroup (NYSE: MAN) today announced that its board of directors has elected Jonas Prising to serve as the company’s fourth chief executive officer (CEO) effective May 1, 2014, and has been nominated to join the board of directors. Prising is currently ManpowerGroup president and executive vice president for the Americas and Southern Europe. Joerres will assume the role of executive chairman upon Prising’s appointment.

“Jonas has successfully led several of ManpowerGroup’s key businesses over his fifteen years with the company. He started as the head our European sales organization and then built our business in Italy, which is now over $1B in revenue, while also leading the successful first global rebranding of our company. Most recently, Jonas has served as president and EVP of the Americas and Southern Europe, while leading our global Right Management and ManpowerGroup Solutions businesses,” said Joerres. “ManpowerGroup has a long tradition of internally developing our CEOs and I am proud that we have someone of Jonas’ caliber and expertise to lead the company. Jonas’ deep industry knowledge, client first approach and strategic vision will enable us to continue to grow ManpowerGroup and deliver world class results. As executive chairman, Joerres will be actively involved in the business with particular focus on clients and external relationships.

ManpowerGroup Names Darryl Green ManpowerGroup’s First Chief Operating Officer and Ram Chandrashekar Executive Vice President


MILWAUKEE (11 FEBRUARY 2014)  ManpowerGroup (NYSE: MAN) announced today that Darryl Green has been promoted to ManpowerGroup’s president and chief operating officer (COO), reporting to Jonas Prising, who today was elected as ManpowerGroup’s chief executive officer (CEO). Both appointments are effective May 1, 2014. Green is currently president and executive vice president, Asia Pacific Middle East and Northern Europe. Sriram “Ram” Chandrashekar has also been promoted to executive vice president, effective immediately.

ManpowerGroup has appointed its first COO to ensure the continuance and acceleration of operational performance.  As ManpowerGroup COO, Green will have responsibility for ManpowerGroup’s four regions – Americas, Asia Pacific Middle East, Southern and Northern Europe. “Darryl is a strong commercial business leader who will focus on driving growth with the disciplined execution needed to deliver world class performance,“ said Jeff Joerres, chairman and CEO of ManpowerGroup. “Darryl has an exceptional track record of consistently delivering results. This coupled with his deep knowledge of emerging markets and ability to craft sophisticated client solutions will greatly enhance ManpowerGroup’s performance and enable us to effectively deliver innovative workforce solutions to our clients.”

Sririam “Ram” Chandrashekar will take on the added responsibility of president, Asia Pacific Middle East, effective immediately. Chandrashekar is currently the senior vice president Operational Excellence and IT and was previously the COO for Asia Pacific Middle East. “Under Ram’s strong leadership we improved our operational performance in 2013 and delivered more value from our IT assets,” Joerres said.  “Ram’s experience as COO, Asia Pacific Middle East, and working around the world to improve our operational performance, will allow him to smoothly transition into the added responsibilities of running the Asia Pacific Middle East Region while continuing to drive momentum in our operational and IT performance globally.”
